Terms and Conditions

These Terms and Conditions ("Terms") constitute a legally binding agreement between you (individually, or on behalf of an entity, "you") and Cliented ("Company," "we," "us," or "our"), concerning your access to and use of the Cliented client operating system platform and all associated services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Agreement to Terms

By creating an account, accessing, or using the Cliented platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

Cliented provides a comprehensive client operating system that unifies client relationship management, project delivery, contract management, communication, revenue tracking, and analytics into a single platform. The specific features available depend on your subscription plan.

3. Account Registration and Security

To access the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete registration information
  • Maintain the security and confidentiality of your account credentials
  • Notify us immediately of any unauthorized account access at security@cliented.io
  • Accept responsibility for all activities occurring under your account
  • Be at least 18 years of age or have appropriate legal authority

4. Intellectual Property Rights

Our Platform: All intellectual property rights in the Service — including software, algorithms, designs, trademarks, and documentation — are owned by or licensed to Cliented. You are granted a limited, non-exclusive, non-transferable license to use the Service during your subscription period for your internal business purposes.

Your Data:You retain full ownership of all client data, project information, contracts, communications, and other content you manage on the platform ("Your Data"). By using the Service, you grant Cliented a limited license to process Your Data solely to provide the Service to you.

5. User Representations

By using the Service, you represent and warrant that:

  • All registration information you submit will be true, accurate, current, and complete
  • You will maintain the accuracy of your information and promptly update it as necessary
  • You have the legal capacity to agree to these Terms
  • You will use the Service in compliance with all applicable laws and regulations
  • You have the right to submit and manage any data you input into the platform

6. Acceptable Use

You agree NOT to use the Service to:

  • Violate any applicable laws, regulations, or third-party rights
  • Reverse engineer, decompile, or extract the source code of the Service
  • Use the Service to develop competing products or services
  • Upload or transmit malicious code, viruses, or harmful content
  • Attempt unauthorized access to any part of the Service or its infrastructure
  • Systematically scrape or extract data from the platform without authorization
  • Resell, sublicense, or transfer your subscription without prior written consent
  • Use the Service to manage or store data belonging to individuals without their consent

7. Fees and Payment

Access to Cliented requires a paid subscription. By subscribing, you authorize us to charge your payment method on a recurring basis at the selected frequency. All fees are in USD and exclusive of applicable taxes. We reserve the right to modify pricing with 30 days advance notice to existing subscribers. Failure to pay may result in suspension or termination of your account.

8. Confidentiality

We treat all Your Data as highly confidential. Cliented will not disclose your client data, project information, or contract details to third parties except as required to operate the Service, with your consent, or as required by law. Both parties agree to maintain the confidentiality of proprietary information shared under this agreement.

9. Service Level Agreement

Cliented targets 99.9% monthly uptime for the Service (excluding scheduled maintenance). Scheduled maintenance will be communicated at least 24 hours in advance. Enterprise customers receive contractual SLA guarantees as specified in their agreements.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. CLIENTED DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND UNINTERRUPTED ACCESS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLIENTED'S TOTAL LIABILITY FOR ANY CLAIMS SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM. CLIENTED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, CLIENT RELATIONSHIPS, OR DATA.

12. Indemnification

You agree to indemnify and hold harmless Cliented and its affiliates from any claims, liabilities, and expenses arising from your use of the Service in violation of these Terms, applicable law, or third-party rights.

13. Termination

Either party may terminate the subscription at the end of the current billing period. Cliented may immediately suspend or terminate your account for material breach of these Terms. Upon termination, you may export your data within 30 days before deletion.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Disputes shall be resolved through binding arbitration, except that either party may seek injunctive relief in any court.

15. Changes to Terms

We may update these Terms with 30 days notice for material changes. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
